Referral and Promotion Agreement

This Referral and Promotion Agreement ("Agreement") is entered into by and between: [Referral Partner's Name/Business Name], hereinafter referred to as "Referral Partner," and Baby Blossom Doulas, LLC, hereinafter referred to as "Doula."
Purpose
The purpose of this Agreement is to establish a referral relationship between the Doula and the Referral Partner, promoting mutual growth and support for new families in the Raleigh area.
Promotional Services Provided
The Doula agrees to provide the following promotional services for the Referral Partner:
Website Feature: ["Business listing," "Blog post," "Ad"] on Baby Blossom Doulas’ website.
Social Media Promotion: [ "Dedicated Facebook post in Raleigh Baby Tips and Tricks group," "Mention in newsletter"].
Terms and Conditions
Referral Process:
The Referral Partner agrees to refer clients seeking postpartum support services to the Doula. Referrals should be made via email, phone, or in-person communication.
Incentives:
Recognition Incentives: The Doula will acknowledge the Referral Partner's contributions through:
Monthly shout-outs on social media and the Doula's website.
Inclusion of the Referral Partner in the Doula’s newsletter.
An annual appreciation event for all referral partners, recognizing contributions to community support.
Payment and Fees:
The Referral Partner agrees to pay the following fees in exchange for the promotional services:
Website Feature: $75
Social Media Promotion: $50/post
Bundle Package (if applicable): $150 for both services/month.
Payment Terms: Payment is due upon signing this Agreement, with full payment required by the payment deadline. Payment can be made via PayPal, Bank Transfer, Card, Stripe, Venmo, or CashApp.
Responsibilities of the Partner:
The Partner agrees to provide all necessary materials (e.g., images, descriptions, links) to the Doula within 2 business days of signing this Agreement.
The Partner agrees that any materials provided comply with all applicable laws and do not infringe on the rights of any third party.
Termination of Agreement
Either party may terminate this Agreement within 2 days’ written notice to the other party.
In the event of termination, any fees already paid are non-refundable unless otherwise agreed upon by both parties.
Indemnification
The Partner agrees to indemnify and hold harmless the Doula from any claims, damages, liabilities, or expenses arising from the promotion of the Partner’s products or services, including but not limited to claims of intellectual property infringement or false advertising.
Confidentiality
Both parties agree to keep all client information confidential and not disclose it to any third parties without consent, except as required by law.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first written above.
